Parties
The parties involved in the agreement are displayed at the top of the page.
Parties are displayed as manufacturer, distributor, and end-customer, whether the end-customer is individually specified, multiple end-customers, or any end-customer.
Contract status
The contract status is displayed in the top right of the page and determines the state of approval of the SPA, e.g. Draft or Approved. Learn more about different contract statuses here.
Versions and periods
A contract may have multiple versions and periods.
- A version indicates a retrospective change. More than 1 version may exist if a change in terms occurred, and the new terms applied to all transactions (past and future).
- A period indicates a non-retrospective change. More than 1 period may exist if a change in terms occurred, and the new terms applied to transactions from the date of the period onwards.
Calculations will always be generated using the latest approved version of a given period.
Click on Version history at the top or the clock button on the right to display an audit of the SPA. If the SPA has multiple periods or versions, here you can see which is currently calculating earnings.
When a SPA has multiple periods, you can navigate between them using the toggle at the top of the page.

Comments
Click the speech bubble button on the right of the SPA to display comments. These comments will relate to the specific SPA you are viewing, and can be a conversation between you and your collaborator.
Tip: A red dot will be displayed on speech bubble button if you have unread comments. Keep an eye out for this when looking at SPAs.
To send a comment to your collaborators, type your message in the box, set the checkbox, and click the Send button.
Actions
Click on the 3 dots menu in the top right of a SPA to display the following options:
- Download CSV: Click to download a CSV containing details of this SPA. Only available for a SPA’s latest version, and when the contract status displayed is Approved. Learn more about the SPA details report here.
- Replicate: Click to replicate this SPA to use as a template for creating a new SPA. Available for any contract status.
- Delete: Click to delete this SPA including any attached documents and notes. Only available when the contract status displayed is Draft or Ready for approval.
Terms tab
The Terms tab specifies key details of the SPA, split into the following sections:
- Parties: The organizations with which the agreement is held, i.e. Manufacturer, Distributor, and End-customer(s).
- Details: The basic elements of the agreement, including reference, agreement name, delivery types and the dates the agreement is valid.
- Distributor terms: The support mechanism (i.e. calculation formula and how much support a manufacturer will pay out of a distributor will receive), pricing, and other details specific to the distributor on the agreement.
- End-customer terms: The end-customer pricing mechanism (i.e. calculation formula), and other details specific to the end-customer on the agreement.
- Branches: The distributor branches which will qualify to receive support.
- Products: The individual products, categories or groups which will qualify to earn support.
- Rebate interactions: Program lines where rebate earned on the program line will be deducted from support calculated on the SPA.
- PDF Notes: Custom text notes could include terms and conditions, payment conditions or any other information captured for your trading partners to be aligned on. Notes will be displayed on the SPA PDF and be visible to your Collaborators if Visibility of the SPA is set to Shared. If no header was added to a note, the default header on the PDF and to Collaborators will be ‘Notes’.
Once a note has been saved, it cannot be edited but can be deleted by clicking the icon in the upper right corner of the note if the contract status is Draft or Ready for approval.
Looking to delete a note from a SPA which has already been approved? A new version or period of the SPA can be created where any notes can then be deleted - learn more about editing a SPA here.
Documents tab
Within the Documents tab, you can review supporting documents and files that have been added to the SPA, containing additional information that trading partners should be aware of. Documents will be visible to your Collaborators if Visibility of the SPA is set to Shared.
Each document displays the document name, format and size. You can also click on a document to download the file and view it.
Once a document has been saved, it cannot be edited but can be deleted by clicking the X in the upper right corner of the note if the contract status is Draft or Ready for approval.
Looking to delete a document from a SPA which has already been approved? A new version or period of the SPA can be created where any documents can then be deleted - learn more about editing a SPA here.
PDF tab
All approved SPAs have a PDF document available to download via the PDF tab.
Use the toggle to view the two versions of PDFs: Full version and End customer version.
- Full version: All aspects of the SPA will be displayed on the PDF file.
- End-customer version: All information relevant to the end-customer will be displayed on the PDF file. All distributor-related information and support will not be displayed. This PDF will be the same version your Collaborators will see, if Visibility of the SPA is set to Shared.

Net price analysis tab
If your organization is a manufacturer, your SPA may also have a Net price analysis tab.
Use this to evaluate the profitability impact of the agreement or review the analysis for audit purposes.
Here you can review a detailed pricing waterfall report for each product within the SPA (if the contract status is Ready for approval, For signing, or Approved).
This includes pricing stages alongside metrics such as variance from cost % and gross margin %.
Approval workflow tab
The Approval workflow tab displays the steps required to sign off the SPA, the users within each step of the workflow, and the sign off status. Learn more about approving SPAs here.
